1. Introduction

Welcome to Scan&Eggs! These Terms of Use (“Agreement”) constitute a legal contract between you (“Customer”) and SAE-TECH Kft. (“Company,” “we,” “us,” or “our”). By accessing or using our website, www.scanandeggs.com, its subdomains, or any services offered by us, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms, in which case the terms "Customer" or "you" shall refer to such entity. If you do not agree with all of the terms of this Agreement, do not access or use the Company’s offerings.

2. Definitions

2.1 "Documentation" refers to any electronic or online user instructions, help files, and other informational materials related to the Company’s offerings, as may be updated from time to time.

2.2 "Plugin" means the Unreal Engine editor plugin software provided by the Company for download as part of a subscription.

2.3 "3D Asset Store" refers to the collection of 3D models and digital assets available for purchase on our website.

2.4 "Subscription Services" refers to the access to and use of our Plugin through a subscription model, in accordance with the terms set forth in this Agreement.

2.5 "Supplier Offering" means the Subscription Services, Plugin, and any related materials or services provided by the Company.

3. License and Access

3.1 License Grant. Subject to the terms and conditions of this Agreement, the Company grants you a limited, non-exclusive, non-transferable license to access and use the Supplier Offering for your personal or internal business purposes only.

3.2 Restrictions. You shall not, and shall not permit any third party to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of any part of the Supplier Offering.

• Modify, adapt, translate, or create derivative works based on the Supplier Offering.

• Use the Supplier Offering for any illegal, unauthorized, or other improper purposes.

4. Orders and Payment

4.1 Orders. By placing an order for Subscription Services or purchasing any 3D assets, you agree to provide accurate, current, and complete purchase and account information.

4.2 Payment. All payments shall be processed through Stripe, and you agree to pay all fees specified in your order in accordance with the payment terms. Fees are non-refundable, except as required by law.

4.3 Taxes. You are responsible for all applicable taxes, duties, or other governmental charges associated with your order.

5. Intellectual Property

5.1 Ownership. All rights, title, and interest in and to the Supplier Offering, including any and all intellectual property rights, are owned by the Company and its licensors.

5.2 Feedback. You may provide suggestions, ideas, or other feedback to the Company regarding the Supplier Offering. You agree that the Company is free to use such feedback without any restriction or compensation to you.

6. User Responsibilities

6.1 Account Security. You are responsible for maintaining the confidentiality of your account information, including your password, and for any activity that occurs under your account.

6.2 Acceptable Use. You agree not to use the Supplier Offering in any manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party's use and enjoyment of the Supplier Offering.

7. Term and Termination

7.1 Term. This Agreement begins when you first access or use the Supplier Offering and will continue until terminated by either party as outlined herein.

7.2 Termination. The Company may terminate this Agreement at any time, with or without cause, by providing notice to you. You may terminate this Agreement by discontinuing your use of the Supplier Offering and notifying the Company.

7.3 Effects of Termination. Upon termination of this Agreement, your rights to use the Supplier Offering will immediately cease, and any fees paid are non-refundable, except as required by law.

8. Disclaimers and Limitation of Liability

8.1 Disclaimer of Warranties. The Supplier Offering is provided on an "AS IS" and "AS AVAILABLE" basis. The Company disclaims all warranties, express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 Limitation of Liability. To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Supplier Offering.

9. Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, officers, agents, employees, and licensors from any claims, damages, liabilities, costs, and expenses arising out of or related to your use of the Supplier Offering or violation of this Agreement.

10. Miscellaneous

10.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of Hungary, without regard to its conflict of laws principles.

10.2 Changes to Terms. The Company reserves the right to modify these Terms of Use at any time. Any changes will be effective immediately upon posting on our website.

10.3 Entire Agreement. This Agreement constitutes the entire agreement between you and the Company regarding the subject matter hereof and supersedes all prior or contemporaneous agreements or understandings.
